   1. Welcome to Waldo ("Platform", "we", "us", "our"), a location-based social network designed to connect users based on their geographical proximity and shared interests. By using the Platform, you agree to be bound by these Terms of Service ("ToS").

9. Indemnification

10. Governing Law and Dispute Resolution

    2. Any disputes arising from or related to these ToS or your use of the Platform shall be resolved through binding arbitration, in accordance with the rules of the Arbitration Institution. The arbitration proceedings shall take place in Delaware, and the decision of the arbitrator(s) shall be final and binding.

11. Changes to the ToS

    1. We reserve the right to modify these ToS at any time. We will notify you of any significant changes by updating the "Last Updated" date at the beginning of this document or through other appropriate communication methods.

    2. Your continued use of the Platform following any changes to the ToS constitutes your acceptance of the revised ToS.

12. Miscellaneous

    1. Severability: If any provision of these ToS is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

    2. Waiver: No waiver of any provision of these ToS shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these ToS shall not constitute a waiver of such right or provision.

    3. Entire Agreement: These ToS, along with any applicable Privacy Policy, constitute the entire agreement between you and the Platform concerning your use of the Platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and the Platform with respect to the Platform.
